Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Data Wrangler website and service (the "Service"), provided by InfoLink Tax ("InfoLink," "we," "us"). By using the Service or joining our waitlist, you agree to these Terms. If you are using the Service on behalf of a firm or organization, you represent that you are authorized to accept these Terms on its behalf.

The Service

Data Wrangler ingests data files you provide and normalizes them into structured, study-ready datasets. The Service prepares and organizes data; it does not prepare, file, or determine tax positions for you.

Eligibility and accounts

You must be at least 18 years old and use the Service for business purposes. You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of any account credentials issued to you.

Waitlist and early access

Joining the waitlist does not guarantee access to the Service. Early-access features may change, and availability, functionality, and pricing may be adjusted as the Service develops.

Your data and ownership

You retain all rights to the files and data you upload ("Customer Data"). You grant InfoLink a limited license to process Customer Data solely to provide the Service to you — for example, to parse, map, normalize, and return it. You represent that you have the rights and permissions necessary to upload Customer Data, including any client data it contains.

Acceptable use

You agree not to:

• Use the Service in violation of any applicable law or third-party rights;
• Upload data you are not authorized to share;
• Attempt to disrupt, reverse engineer, or gain unauthorized access to the Service;
• Use the Service to build a competing product.

No professional advice

The Service is a data-preparation tool. It does not provide tax, accounting, legal, or other professional advice, and its output does not constitute a completed R&D study or a determination of any tax credit. You are responsible for reviewing the output and for all professional judgments, calculations, and filings.

Third-party services

The Service relies on third-party providers (such as hosting, form processing, spam prevention, and analytics). Your use may be subject to those providers' terms, and we are not responsible for third-party services.

Intellectual property

The Service, including its software, design, and content (excluding Customer Data), is owned by InfoLink and protected by intellectual-property laws. These Terms do not grant you any rights to our trademarks or branding.

Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that output will be complete or accurate.

Limitation of liability

To the fullest extent permitted by law, InfoLink will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or data, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amounts you paid to us for the Service in the twelve months before the claim, or, if you have paid nothing, one hundred U.S. dollars.

Indemnification

You agree to indemnify and hold InfoLink harmless from claims arising out of your Customer Data, your use of the Service, or your breach of these Terms.

Termination

We may suspend or terminate access to the Service at any time if you violate these Terms or to protect the Service. You may stop using the Service at any time and request deletion of your data.

Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any disputes will be subject to the exclusive jurisdiction of the state and federal courts located in New York.

Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
